Word contracts
Write your contract in Microsoft Word, mark where each deal's details go, and MCA Manager fills it for every deal, turns it into a PDF and places a signing box wherever you asked for one. The wording is yours: nothing is rewritten.
1. Fill in Settings → Contracts
The details every contract prints about you: your legal name and address, the contract email, and the incoming wire / ACH instructions. The same page sets the signer rule (signers must own more than a percentage of the business, 50 by default) and whether every signer initials every page (on by default). Needs edit company settings.
2. Mark up the Word file
Fields are written in braces: {company.legalName}, {deal.purchasePrice},
{primaryContact.name}. A field the deal has no value for prints empty.
Repeating blocks print once per item: {#signers}{firstName} {lastName}{/signers}.
The lists are sellers (with dbas, banks, backups and signers inside each
seller), signers, guarantors, banks and earlyDelivery. Inside a block,
{.} is the item itself.
Sometimes-sections appear only when a condition holds:
{#flags.hasThirdPartyPayoff}…{/flags.hasThirdPartyPayoff}— when it is true or non-empty;{^flags.hasBackupAccounts}…{/flags.hasBackupAccounts}— when it is not;- comparisons:
{#flags.state == "TX"}…{/flags.state == "TX"}, with==,!=,>,>=,<,<=(text compares ignoring case).
This is how one file carries state addendums and optional pages.
Signing spots go where a signer signs, initials, dates or types:
| Spot | Becomes |
|---|---|
[[sig:signer1]] | signature box for the first signer |
[[init:signer2]] | initials box for the second signer |
[[date:signer1]] | the date they sign |
[[text:signer1:Account number]] | a box they type into, labelled "Account number" |
Inside a signer block write [[sig:{sigTag}]] (and init / date / text):
it becomes the right signer for each repeat. Each box is sized to the blank it
sits on, and the tag text itself never shows on the PDF. Every signer needs at
least one sig spot. With initials every page on, each signer also gets an
initials box at the bottom right of every page that has none of theirs.
3. Upload, inspect, preview
Under Settings → Document templates → Word contract templates: name it,
choose the .docx (up to 10 MB) and Upload Word template. The upload is
checked first: an unknown field is named (unknown field {x}), a broken block is
reported, and a file with no signature spot is refused. Replace keeps the
template and bumps its version.
-
Inspect shows, for a deal you pick, who signs where, each sometimes-section (with Preview as state for addendums), and where every value comes from — shaded by Deal, Merchant, Signers, Settings or Computed.
-
Preview fills the template for that deal and shows the PDF. Nothing is saved.
-
Turn off document design / Use document design turns your document design (logo, watermark, footer) off or on for this template.
-
Mark disclosure included marks a template that carries the state disclosure pages itself, written with the
disclosure.*fields inside{#flags.state == "TX"}…{/}blocks, one per state. Generating it then:- refuses while the deal's disclosure can't be worked out (the error says why);
- records the disclosure on the deal, so the funding gate sees it;
- marks that disclosure signed when the contract is signed.
A signing packet that includes such a template doesn't add a separate disclosure PDF.
Uploading and previewing need manage signature templates. Account numbers stay masked in previews unless you may view merchant bank details.
4. The deal's Contract details
On the deal, the Contract details card collects what the template needs:
- Signers, in signing order — chosen from the owners of the merchant and of its backup businesses. Together they must own more than the minimum of the main business (exactly the minimum is not enough). Below it, a note explaining why these signers are enough is required, and the override is audited. Signers of a backup business are optional. Needs edit advances.
- Early delivery schedule — windows of calendar days after funding and the amount owed if paid within each (no overlaps, up to 20). Left empty, the contract has no early-delivery page.
- DBAs are kept on the merchant (up to 25); the first is always the merchant's DBA name.
- A payoff to other funders on the deal prints in the deductions and turns on
flags.hasThirdPartyPayoff. - Bank accounts come from the merchant's bank accounts:
bank.*is the primary, used for the ACH authorization;bankslists primary then backups.
Generate contract (needs send for signature) fills the template, converts it, places the signing boxes and leaves a draft signature request: Review and send → opens it in e-signature. It refuses — and says why — when no signers are chosen, a signer has no email, the ownership rule is not met, or the template has spots for a signer the deal does not have. Each generated contract keeps the template version and a fingerprint of the PDF.
Through the API: PUT /api/v1/deals/{id}/signers, then
POST /api/v1/deals/{id}/contracts (answered 202; the result arrives as the
contract.generated or contract.failed webhook).
